Public offer

Version of 28 September 2026. This is a translation for convenience; the Ukrainian version prevails.

This document is a public offer — a formal proposal by individual entrepreneur Dmytro Oleksandrovych Kravchuk to enter into a service agreement on the terms below (Articles 633, 641 and 642 of the Civil Code of Ukraine).

1. Parties

The Contractor — individual entrepreneur Dmytro Oleksandrovych Kravchuk, RNOKPP 3331919096, single tax payer of the third group, not a VAT payer.

The Client — a natural or legal person who accepts this offer.

2. Subject

The Contractor provides design, development, rollout and support services for digital products: websites, online stores, web applications, internal systems, mobile applications, integrations and automation, and interface design.

The specific scope, timelines and price are set out in an estimate or specification agreed by the parties in writing, including by email.

3. How the contract is concluded

  1. The Client sends an enquiry through the website form, by email or in a messenger.
  2. The parties agree on the task, after which the Contractor provides an estimate with stages, their price and timelines.
  3. The Contractor issues an invoice for a stage.

Payment of the invoice constitutes acceptance of this offer in full and without reservation, and the contract is deemed concluded.

4. Price and payment

Prices are set in Ukrainian hryvnia. The Contractor is not a VAT payer, so VAT is not charged.

Standard payment schedule: 30% advance, 40% interim payment, 30% on acceptance of the stage. For large projects the parties may agree on payment per two-week sprint.

Bank details for payment are stated in the invoice.

Third-party costs (domains, hosting, licences) are paid separately at cost and are not included in the service price unless stated otherwise in the estimate.

5. Timelines

Timelines are defined by the estimate or project schedule. They are extended by any delay caused by the Client not providing materials, access, feedback or payment on time.

6. Acceptance

The Contractor notifies the Client that a stage is complete and delivers the result (a document, a staging environment, a release).

The Client has 5 business days to review it and send written comments. If no comments are received within that period, the stage is deemed accepted.

Justified comments within the agreed scope are addressed free of charge. Work beyond the agreed scope is estimated separately.

7. Warranty

The Contractor provides a 3-month warranty from the date a stage is accepted and fixes defects caused by the Contractor free of charge.

The warranty does not cover:

  • changes made by the Client or third parties to the code or configuration;
  • failures of third-party services, hosting and integrations;
  • new functionality outside the agreed scope.

8. Intellectual property

Economic intellectual property rights to the result transfer to the Client after full payment for the relevant stage. Until payment, the rights belong to the Contractor.

The repository, access and documentation are handed over to the Client. Open-source components and third-party libraries are used under their own licences.

The Contractor may mention the cooperation and show the result in a portfolio unless the Client objects in writing.

9. Client obligations

  • Provide the materials, access and information required for the work.
  • Appoint a person responsible for communication and acceptance.
  • Provide feedback within the agreed timelines.
  • Pay for the services according to the invoices.

10. Confidentiality

The parties keep confidential the commercial, technical and financial information received during the cooperation, except information that is public or subject to disclosure by law. This obligation lasts three years after the work is completed.

11. Liability

The Contractor's liability is limited to the amount actually paid by the Client for the stage in which the breach occurred.

The Contractor is not liable for indirect damages, lost profit, or for third-party services, hosting and communication channels it does not provide.

12. Suspension and termination

The project may be paused between stages. In that case the Client pays for the work actually performed and the Contractor hands over its result.

Either party may withdraw from the contract with at least 10 calendar days' written notice, subject to settlement of mutual payments.

13. Force majeure

The parties are released from liability for non-performance caused by force majeure: hostilities, missile strikes, prolonged power or communication outages, natural disasters, or decisions of public authorities. The affected party notifies the other within a reasonable time.

14. Disputes

The contract is governed by the law of Ukraine.

Disputes are settled through negotiation. A claim is considered within 30 calendar days of receipt. If no agreement is reached, the dispute is referred to the court at the place of the Contractor's state registration (Zhytomyr, Ukraine).

15. Other terms

The Contractor may amend this offer. A new version takes effect when published on this page and does not apply to stages paid for before publication.

Correspondence by email and messengers has the force of written form where the parties agree on scope, timelines or price in it.
